Agreement of Confidentiality

I am a prospective purchaser of a chiropractic practice listed with practice broker Premier Practice Consultants, LLC. I would like them to provide me with confidential, proprietary information regarding the business, financial condition, operation and management of the practice.

As a condition to the receipt of this information, I agree to keep all proprietary information confidential. I will not contact any person(s) associated with the practice without permission, visit the practice location without permission, disclose either the proposed transaction or any proprietary information to any third party without the prior consent of the seller and or Premier Practice Consultants LLC, and I will only use the proprietary information exclusively for the evaluation of the proposed transaction. In the event I decide not to purchase the practice, I will return, shred and or delete from my email and computer all of the confidential documents I have received in order to protect the seller from future damages.

Violating the veil of confidentiality could cause damage to the practice and its owner.
